Language Technology including InstantTranslate

By using the Services and Technologies of World Translation’s language technology systems, including InstantTranslate, you agree to abide by the following Terms and Conditions.
Once you register on World Translations’s language technology systems, you and any party or entity that you are using our systems on behalf of, represent and warrant that you are authorized to bind yourself and any other party on whose behalf you conclude this agreement, and that you accept the terms of use and agree to be bound by them.
If you do not agree to these Terms and Conditions, you must immediately stop accessing and/or using World Translations’s language technology systems.
In this Agreement:
Terms and Conditions: everything laid out in this document, which contains the terms and conditions agreed upon between you and us, and which authorizes you to use the agreed-upon Services.
Services: the services provided to you by World Translation under this Agreement and the relevant order confirmation, and all the other associated services that World Translation may make available to you, including but not limited to access to services in our Language Portal.
Technologies: the technologies that you can use under this Agreement and the relevant order confirmation, and all the other associated technologies that World Translation may make available to you, including but not limited to access to the technologies of our Language Portal
Subscription Package: a certain number of Services that you have access to for a certain Subscription Period and for a certain number of users. Your specific Subscription Package is defined in an Order Confirmation separate to this Agreement.
Subscription Period: the period during which you are subscribing for access to the Services and Technologies. Your specific Subscription Period is defined in an Order Confirmation separate to this Agreement.
Order Confirmation: your written confirmation of a quote issued by us. The quote contains the specific details of your selected Subscription Package, Subscription Period, number of users, payment plan etc.. The order confirmation can be an e-mail.
System: the environment you are using after authenticated log in to use the Services and Technologies.
Based on individual agreements between you and World Translation, you may be entitled for a free trial. World Translation maintains the right to define the period of the trial and can change the duration of the trial period without prior notice.
The contents of these Terms and Conditions also apply during the trial period.
During the trial period, no payment is required to access the Services and Technologies.
For InstantTranslate, World Translation maintains the right to define a maximum number of words you may translate in the portal during the trial period. In the event that you translate more than the defined maximum number of words, World Translation reserves the right to invoice the excess words.
After the trial period, you can continue using the Services and Technologies by ordering one or more Subscription Packages. Without a valid Subscription Package, access to the Services and Technologies will be declined and any content you have uploaded to or created within our System will be deleted from the System.
You can access the Services and Technologies either during a trial period or after you have ordered a Subscription Package. You can order a Subscription Package by confirming a quote issued by us (Order Confirmation). The quote contains specific details of your selected Subscription Package, Subscription Period, number of users, payment plan etc.
The type of access you are granted depends on the Subscription Package you choose (individual personal login or login via IP address).
If you use an individual personal login, this login information may not be used by other persons.
If you do not have a valid Subscription Package, access to our Services and Technologies will be declined and any content you have uploaded to or created within our System will be deleted from the System.
You can order Subscription Packages according to your own requirements. A Subscription Package defines the details of your access to the Services and Technologies during the Subscription Period defined in the package. These details may include the number of users allowed to access our Services and Technologies, the language resources you can access or, in the case of InstantTranslate, the maximum number of words you can machine translate per month.
If your use of InstantTranslate exceeds the maximum number of words defined in your Subscription Package, World Translation will invoice the words in excess of the Agreement according to the current InstantTranslate price list.
If you do not have a valid Subscription Package, access to our Services and Technologies will be declined, and any content you have uploaded to or created within our System will be deleted from the System.
The start date of the Subscription Period is the day when you confirm your order for the subscription (in writing), unless we have agreed on a future start date. You can confirm your subscription, for example, by approving a quote issued by us (Order Confirmation). The fee will be applied for the whole month of the start date.
The length of the Subscription Period is defined in our quote and accepted by you in your Order Confirmation.
The minimum Subscription Period is three months.
At the end of the Subscription Period your subscription will be renewed automatically unless you cancel your subscription 30 days before the end of the current Subscription Period. The renewal period is 3 months unless otherwise defined in our quote.
New Subscription Packages can be ordered at any time. We will send you a quote for the new package, which you then can approve.
You can add additional language resources, language combinations or additional users to your Subscription Package at any time. Any changes of this type will take immediate effect. The fee will be changed accordingly for the whole current month and added to the next invoice.
Other changes to existing Subscription Packages such as cancellation of renewal, reducing the number of Services and Technologies, or reducing the number of users will take effect at the beginning of the next Subscription Period.
All changes need to be made in writing.
The fee for your Subscription Package depends on the Services and Technologies you want to access, the number of users who need access, and other factors. The fee is stated in our quote at the beginning of your first Subscription Period.
For each Subscription Period, World Translation invoices the fee in advance. At the end of each Subscription Period, we will send an invoice of the fee for the following Subscription Period, unless otherwise defined in our quote.
Your subscription is automatically renewed unless you cancel your subscription 30 days before the end of the current Subscription Period, see paragraph 0.
Termination of existing Subscription Packages must be requested in writing and will take effect at the end of the current Subscription Period.
If your Subscription is not renewed, access to the Services and Technologies will be declined, and any content you have uploaded to or created within our System will be deleted from the System.
You have the right to cancel your Subscription during a Subscription Period in the following situations:
(a) if World Translation breaches this Agreement;
(b) if any updates of our Services and Technologies as specified in Section 10 are not acceptable for you.
World Translation reserves the right to cancel this Agreement in the event of your breach of this Agreement.
We will not refund any Subscription Payments or other payments made under this Agreement if the Subscription is cancelled by us due to your breach of any of the conditions of this Agreement.
In the event of cancellation of your Subscription, any content you have uploaded to or created within our System will be deleted from the System.
World Translation’s language technology systems are under continuous improvement and development. The Services and Technologies included in your Subscription Package may therefore change over time.
Some of World Translation’s language technology systems are third-party technologies. and we therefore do not manage the development ourselves.
We will inform you of any major changes to the Services and Technologies included in your Subscription Package.
In the course of using our Services and Technologies, various types of content are uploaded to the System, for example source and target language content, translation memories, or terminology databases (hereafter called content).
Depending on the Services and Technologies included in your Subscription Package and the workflows agreed upon with you, this content is either uploaded by you yourselves (for example when you use InstantTranslate for machine translation), or World Translation uploads it for you (for example your translation memory and/or terminology, in order to give you access to these data).
World Translation is committed to protecting your data and your personal information. The specific details regarding data protection and privacy depend on the Services and Technologies of your Subscription Package. Please contact us for further information.
Please note that when you use InstantTranslate, you may have access to third-party machine translation systems that are not owned or managed by World Translation (see paragraph 0). Different data protection and privacy regulations may apply. You should therefore consider carefully which types of texts you translate with InstantTranslate (see also paragraph 0).
Depending on your Subscription Package, your use of World Translation’s Services and Technologies may include our InstantTranslate portal.
InstantTranslate is a solution that combines machine translation with re-use of the human translations stored in your company’s translation memories and the contents of your terminology databases.
When you use InstantTranslate, we give you access to third-party machine translation systems that are not owned or managed by World Translation. The specific conditions for the use of machine translation depend on the machine translation provider selected. Please contact us for further information. We will always inform you of the specific machine translation provider that you are given access to.
Please also refer to Section 13, Obligations of the Customer.
Please note that machine translated texts and documents have not been reviewed by a translator and can therefore contain errors. These translations must therefore be used with utmost caution. You should always quality-check machine translated texts and documents. In many cases you will need to correct a machine-translated text or document before you can use the translation.
World Translation does not take any responsibility for and is not liable for the correctness of the machine translation.
You may only use World Translation’s Services and Technologies for the purposes agreed upon and in compliance with applicable laws.
You are obligated to keep the access credentials provided by World Translation secure, and you may not disclose them to any third parties unless required for the contractually intended and permitted use of World Translation’s Services and Technologies.
You are not entitled to repackage or resell access credentials or your access to World Translation’s Services and Technologies to any third parties.
If you use our InstantTranslate portal, the following additional obligations apply:
This Agreement is not a sale and does not convey any rights of ownership of the System either in whole or in part. All rights, title, and interest in the System and any updates, upgrades, or modifications thereof, or in any ideas, know-how, and programs developed by World Translation or its licensors during the course of this Agreement will remain the property of World Translation or its licensors. All rights, title, and interest in your data will remain your property.
